Our audits are designed to be a springboard for improved internal controls and procedures, as well as tax planning that is proactive rather than reactive.

We are one of the few Southern California-based accounting firms that audit publicly held companies.

Our practice consists of nearly all aspects of SEC reporting, including:

  • Registration statements, including those for IPOs and secondary offerings
  • Audit/review of annual and quarterly reports filed with the SEC
  • Mergers and acquisitions
  • Sarbanes-Oxley 404 solutions
  • Supplementary services for non-attest clients including internal audit, tax strategies/planning, and income tax provisions
  • Review of financial reporting, and technical accounting support

We’ll work closely with your team to ensure we understand your business, objectives, needs, risks, priorities, and expectations. We can work as an extension of your existing Internal Audit Department, as independent consultants or as a combination of both.

Risk Advisory Services

Fluctuations in the market, tight industry regulations, and pressure from stakeholders have made risk detection and management more important than ever before.

We offer professional risk management and consulting services to emerging and institutionally-owned organizations, including middle-market and Fortune 1000 companies.

  • Internal audit sourcing
  • Enterprise risk management
  • Quality assessments
  • Information technology
  • Sarbanes-Oxley compliance
  • Business process improvements
  • Project risk management
  • Cost recovery & construction audits

Our flexible approach goes beyond traditional internal auditing because we provide you with the guidance you need to reinforce and enhance internal controls, manage business risks, improve business processes, meet compliance requirements, and implement best practices.

Sarbanes-Oxley Compliance

Today’s corporations are subject to increased scrutiny on corporate governance, increased fees for compliance, and decreased bandwidth for other initiatives.

We have real-world experience implementing and complying with Sarbanes-Oxley (SOX) regulations. We can provide project management support, document process workflows, identify and optimize key controls, develop and execute test scripts, assist with remediating deficiencies, and provide guidance for ongoing compliance.

Public Companies

Squar Milner currently provides audit and/or tax services to over 35 public companies, some of which are accelerated filers and NASDAQ companies.

Our audit partners and managers have served at international CPA firms leading engagements for NYSE and NASDAQ companies. We deal with the SEC staff frequently in connection with client filings and on special communications. Additionally, our audit partners and managers have served as subject matter advisors to accelerated filer companies seeking to comply with Section 404 of the Sarbanes-Oxley Act of 2002 (“SOX”).

We have access to sophisticated research tools on the latest accounting and SEC developments. In contrast to national firms, the Squar Milner partners consult and make decisions on complex accounting and financial reporting issues locally.

In October 2014, the PCAOB completed their fourth inspection of our public audit practice and the Firm’s related quality control system. In 2012, 2009 and 2006, we received clean “no comments” reports, the best result an accounting firm can achieve.

Services include:

  • Compliance with SEC Reporting
  • Going Public and Registration Statements
  • Market Maker Contacts

SSAE 16 Services

Service Organization Control Reports – SOC 1, SOC 2, and SOC 3 Audits

Many service organizations depend on the integrity of their control environment to serve and protect their customers and their business. Such services have been provided to clients in a number of industries, including real estate investment providers, property management companies, application service providers, co-location facilities, financial institutions, data processing centers, money couriers, collections agencies, payroll service bureaus, lockbox operations, and document solution providers.

More recently Squar Milner has performed a growing number of SSAE No.16 attestation engagements to meet the American Land and Title Best Practices (ALTA) requirements. Squar Milner was one of the first Public Accounting firms to complete a SSAE No.16 attestation engagement for a Title and Escrow Company to meet the ALTA Best Practices and has now completed multiple SSAE No. 16 engagements for this industry.

For this fast growing service offering, Squar Milner provides verification of these control environments through SOC examinations. Engagements of this nature report on the effectiveness of the controls and safeguards in place. Our approach to staffing these audits is to combine industry-focused auditors with IT auditors capable of addressing industry specific control environment requirements.

Related to our SOC service offerings, we have extensive experience that includes:

  • SOC readiness assessments
  • Coaching and review of client-prepared control objectives and narratives
  • Independent assistance to document client-defined control objectives and narratives
  • SSAE 16/SOC 1, SOC2, and SOC 3 examinations (both Type 1 and 2 audits)
  • Conversion from 2009 to 2014 Trust Services Principles for SOC 2 and SOC 3 audits
